Terms and Conditions

Account Security

• Maintaining the confidentiality of your login credentials;
• All activities that occur under your account, whether or not authorized by you;
• Using strong passwords and enabling multi-factor authentication where available;
• Not sharing your account credentials with any third party;
• Immediately notifying WorksBuddy at marketing@worksbuddy.ai if you suspect unauthorized access to or use of your account.

WorksBuddy will not be liable for any loss or damage arising from your failure to maintain account security.

LIO

By using LIO, you agree that:

• You will use lead data collected through LIO only for lawful business purposes;
• You will obtain any required consent before uploading contact data of third parties;
• You will not use LIO to send unsolicited commercial communications;
• LinkedIn enrichment features must be used in accordance with LinkedIn's terms of service; and
• Lead scoring and AI-generated recommendations are for informational purposes only and do not constitute legal, financial, or hiring advice.

Taro

By using Taro, you agree that:

• You are responsible for the accuracy of project data, timelines, and resource assignments entered into Taro;
• AI-powered risk predictions and workload recommendations are advisory and do not guarantee project outcomes; and
• Time tracking data submitted through Taro may be used by Organisation Administrators for billing, payroll, or project reporting purposes.

EvoX

By using EvoX, you agree that:

• You will comply with all applicable email marketing laws including the CAN-SPAM Act, GDPR, India's IT Act, and any other applicable anti-spam legislation in your jurisdiction;
• You will only send emails to recipients who have given valid consent to receive communications from you;
• You will maintain and honour unsubscribe requests promptly;
• You will not use EvoX to send emails containing misleading subject lines, false sender information, or deceptive content;
• You are responsible for the content of all campaigns sent through EvoX; and
• AI-generated email content must be reviewed and approved by you before sending.

Revo

By using Revo, you agree that:

• You are responsible for the configuration and logic of all automated workflows you create;
• WorksBuddy is not liable for errors, unintended actions, or data loss resulting from incorrectly configured workflows;
• Integration credentials stored within Revo are encrypted and used only to execute the workflows you have configured; and
• You will not use Revo to automate any activity that violates these Terms or applicable law.

Inzo

By using Inzo, you agree that:

• Invoice and financial data processed through Inzo is your responsibility to verify for accuracy before sending;
• Inzo does not provide accounting, tax, or legal advice, and you should consult qualified professionals for such matters;
• AI cash flow forecasts are estimates based on available data and do not constitute financial guarantees; and
• You are responsible for ensuring invoices sent through Inzo comply with applicable tax laws and regulations in your jurisdiction.

Sigi

By using Sigi, you agree that:

• You are responsible for ensuring that the use of electronic signatures is legally valid in your jurisdiction and for the type of document being signed;
• WorksBuddy does not provide legal advice regarding the enforceability of electronically signed documents;
• You will obtain valid consent from all signing parties before initiating a signing workflow;
• Audit trail data maintained by Sigi is for your records and may be used as evidence in legal proceedings in applicable jurisdictions; and
• AI contract risk analysis is advisory in nature and does not constitute legal advice. You should have qualified legal counsel review contracts before execution.

SChat

By using SChat, you agree that:

• You will use SChat only for lawful business communications;
• You will not use SChat to transmit spam, harassing content, illegal material, or any content that violates applicable law;
• Message content within SChat may be accessible to your Organisation's Administrator; and
• WorksBuddy is not responsible for the content of messages exchanged between users on SChat.

Plans

WorksBuddy offers four subscription tiers:

• Free Plan: Access to limited features across selected Products at no cost.
• Core Plan: Expanded access to core features across selected Products.
• Pro Plan: Full feature access across all Products including AI capabilities and advanced integrations.
• Business Plan: Enterprise-grade access with advanced controls, priority support, and custom configurations.

Individual AI agents may also be subscribed to at a per-agent price. Detailed pricing for each plan and agent is available at worksbuddy.ai/pricing.

Billing

Paid subscriptions are billed on a monthly or annual basis as selected at the time of purchase. By subscribing, you authorize WorksBuddy to charge your designated payment method on a recurring basis at the applicable rate.

Payment Methods

WorksBuddy accepts major credit cards and other payment methods as displayed during checkout. Payment card data is handled exclusively by our PCI-DSS-compliant payment gateway partners. WorksBuddy does not store full card numbers.

Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. For annual plans, cancellation must be submitted at least 30 days before the renewal date to avoid renewal charges for an additional annual period.

Price Changes

WorksBuddy may change subscription pricing at any time. We will provide at least 30 days' notice of any price change to existing subscribers via email before the change takes effect on your account.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the current billing period.

Refunds

WorksBuddy does not provide refunds for partial billing periods or unused subscription time, except where required by applicable law or as expressly stated in our Billing Policy at worksbuddy.ai/billing-policy.

Taxes

You are responsible for all applicable taxes, duties, levies, or similar charges associated with your subscription. WorksBuddy will add applicable taxes to your invoice where required by law.

Free Plan

Free plan access is provided as-is with limited features. WorksBuddy may modify, restrict, or discontinue free plan features at any time with reasonable notice.

Trial Periods

WorksBuddy may offer trial periods for paid plans. At the end of a trial period, your account will automatically convert to the free plan unless you have provided payment details and subscribed to a paid plan.

Ownership

You retain full ownership of all User Content you upload, create, or store within any WorksBuddy Product. WorksBuddy does not claim ownership of your User Content.

License to WorksBuddy

By uploading or creating User Content within any WorksBuddy Product, you grant WorksBuddy a limited, non-exclusive, royalty-free, worldwide license to store, process, transmit, and display your User Content solely to the extent necessary to provide the Products and services you have subscribed to. This license terminates when you delete the relevant content or close your account, subject to any retention obligations described in these Terms.

Your Responsibility for Content

You are solely responsible for the accuracy, legality, and appropriateness of all User Content. You warrant that:

• You have all rights, licenses, and permissions necessary to upload and use your User Content in connection with the Products;
• Your User Content does not infringe any third party's intellectual property, privacy, or other rights; and
• Your User Content complies with all applicable laws and these Terms.

Content Monitoring

WorksBuddy does not proactively monitor User Content but reserves the right to review, remove, or restrict access to any User Content that we reasonably believe violates these Terms, applicable law, or poses a risk to WorksBuddy, other users, or third parties.

How WorksBuddy Uses Your Data

WorksBuddy processes your data for the following purposes:

• To create, maintain, and operate your account across all Products you use;
• To deliver, personalize, and improve the Products and services you have subscribed to;
• To process payments and manage billing;
• To provide customer support and resolve technical issues;
• To send transactional communications including account notifications, security alerts, and billing receipts;
• To send product updates and marketing communications (you may opt out at any time);
• To monitor for fraud, abuse, and security threats;
• To comply with applicable legal obligations; and
• To analyze anonymized and aggregated usage trends to improve Product performance.

Data We Do Not Use

WorksBuddy commits that:

• We do not sell your personal data or User Content to third parties;
• We do not use your data for third-party advertising;
• We do not use your User Content to train public AI or machine learning models;
• We do not share your data with third parties except as described in our Privacy Policy; and
• We do not use Google Workspace API data to develop, improve, or train generalised AI or machine learning models.

Scope of Access

WorksBuddy may request access to Google services including Gmail, Google Calendar, Google Drive, Google Sheets, and Google Docs. Access is requested only for the specific features you enable and only with your explicit authorization.

Data Use Restrictions

WorksBuddy's use of Google user data is restricted as follows:

• Google user data is used only to provide or improve the specific feature or functionality you have authorized;
• Google user data is not used for serving advertising;
• Google user data is not shared with third parties except as necessary to provide the requested service;
• Google user data is not used to train generalised AI or machine learning models;
• Human review of Google user data is restricted to security monitoring, legal compliance, and where you have explicitly requested support; and
• Google user data is retained only as long as necessary to provide the requested service.

AI-Powered Features

WorksBuddy Products incorporate AI-powered features including lead scoring (LIO), risk prediction (Taro), email generation (EvoX), workflow automation (Revo), cash flow forecasting (Inzo), contract clause analysis (Sigi), and content generation (Ranko).

Advisory Nature of AI Output

AI-generated outputs, recommendations, scores, predictions, and content within any WorksBuddy Product are advisory in nature. They are provided for informational purposes only and do not constitute legal, financial, accounting, medical, or professional advice of any kind. You are responsible for reviewing, verifying, and approving all AI-generated outputs before acting on them or sharing them with third parties.

AI Training

WorksBuddy does not use your User Content or Service Data to train publicly available AI models. Anonymized and aggregated data may be used to improve the accuracy of WorksBuddy's proprietary AI models. Organisation-specific models (where applicable) are scoped exclusively to your organisation and are never shared across organisations or customers.

WorksBuddy Ownership

All rights, title, and interest in and to the WorksBuddy platform, Products, software, design, logos, trademarks, trade names, and content created by WorksBuddy — including LIO, Taro, EvoX, Revo, Inzo, Sigi, SChat, and Ranko — are and remain the exclusive property of WorksBuddy Inc. and its licensors.

License to Use

Subject to your compliance with these Terms and payment of applicable fees, WorksBuddy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Products you have subscribed to for your internal business purposes.

Restrictions

You may not:

• Copy, reproduce, distribute, or create derivative works of any WorksBuddy Product;
• Use WorksBuddy's trademarks, logos, or branding without prior written consent;
• Remove or alter any proprietary notices or labels on the Products; or
• Use any WorksBuddy Product in a way that suggests an endorsement or affiliation not authorized by WorksBuddy.

Availability

WorksBuddy Products support integrations with third-party tools and services including but not limited to Google Workspace, Microsoft 365, Slack, Stripe, Salesforce, HubSpot, and thousands more via Revo's integration infrastructure.

Third-Party Terms

Your use of any third-party integration is subject to that third party's own terms of service, privacy policy, and usage restrictions. WorksBuddy is not responsible for the availability, accuracy, security, or practices of any third-party service.

Data Sharing

By enabling a third-party integration, you authorize WorksBuddy to share the data necessary to operate that integration with the relevant third party. You should review the privacy policy of any third-party service before enabling an integration.

Mutual Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with the use of WorksBuddy Products ("Confidential Information"), and to use such information only for the purposes contemplated by these Terms.

Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) is required to be disclosed by law or court order.

WorksBuddy Security Measures

WorksBuddy implements industry-standard security measures including encryption of data in transit (TLS 1.2 or higher) and at rest (AES-256 or equivalent), role-based access controls, multi-factor authentication for internal systems, regular penetration testing, and formal incident response procedures.

Your Security Responsibilities

You are responsible for:

• Maintaining the security of your account credentials;
• Ensuring that users you add to your Organisation account comply with these Terms;
• Configuring appropriate access permissions within your Organisation account; and
• Promptly notifying WorksBuddy of any known or suspected security incident related to your account.

WorksBuddy Warranties

WorksBuddy warrants that: (a) it has the right to enter into these Terms; (b) the Products will perform materially in accordance with their documentation; and (c) WorksBuddy will not knowingly introduce malware into any Product.

Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, WorksBuddy and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use any WorksBuddy product, even if we have been advised of the possibility of such damages.

Aggregate Liability Cap

WorksBuddy's total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees you paid to WorksBuddy in the twelve months immediately preceding the claim; or (b) USD $100.

Termination by You

You may close your WorksBuddy account at any time through your account settings. Closing your account cancels any active subscription at the end of the current billing period.

Suspension or Termination by WorksBuddy

WorksBuddy may suspend or terminate your access to any or all Products at our sole discretion, with or without notice, if we reasonably believe:

• You have violated these Terms or our Acceptable Use Policy;
• Your continued access poses a security, legal, or reputational risk to WorksBuddy, other users, or third parties;
• Your account has been inactive for 90 or more consecutive days (free plan accounts only);
• Payment for a paid subscription is overdue; or
• We are required to do so by applicable law or a lawful government order.

We will make reasonable efforts to provide notice through the email address associated with your account before taking action, except where immediate action is required to protect security or comply with law.

Data Export

You may export your User Content and Service Data from WorksBuddy Products at any time using the in-product export features available within each Product. Exports are provided in standard machine-readable formats.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute by contacting us at marketing@worksbuddy.ai. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

Arbitration

If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall be conducted in English and the seat of arbitration shall be Dover, Delaware, United States.

Jurisdiction for Injunctive Relief

Notwithstanding the arbitration clause, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, particularly in connection with intellectual property rights or confidentiality obligations.
